PROBLEM TO BE SOLVED: To provide a copolymerization catalyst system industrially more simply synthesizable and having high polymerization activity and high copolymerizability and to provide a method for producing a copolymer of anα-olefin and a cyclic olefin using the catalyst. SOLUTION: A 2-20Cα-olefin is copolymerized with at least one kind of cyclic olefin in the presence of the polymerization catalyst. Furthermore, the polymerization catalyst is composed of a transition metal compound (A) represented by formula (1) (wherein, M is a group 5 transition metal of the periodic table; X<SP>1</SP>and X<SP>2</SP>are each a hydrogen and a 1-20C alkyl group, an aryl group, an aralkyl group or a halogen; R<SP>1</SP>, R<SP>2</SP>, R<SP>3</SP>s, R<SP>4</SP>, R<SP>5</SP>and R<SP>6</SP>s are each a hydrogen, a halogen or a 1-20C alkyl group, an aryl group or an aralkyl group; and m and n are each an integer of 0-3) and one or more kinds of activators (B) selected from an organoaluminumoxy compound or an organoboron compound.
