PROBLEM TO BE SOLVED: To provide excellent magnetic powder for a magnetic recording medium in which magnetic properties and oxidation stability are compatible, and to provide a magnetic recording medium obtained by using the powder. SOLUTION: In the method for producing magnetic powder, after oxide film formation treatment with oxygen, mild vapor phase activation treatment is performed with CO, H<SB>2</SB>or the like having reduction capacity in a gas having activity, and next, oxidation treatment is performed once more, thus the state of the oxide film is changed. The magnetic powder is produced mainly by the method and has an oxidation resistant oxide film in which the binding state of oxygen observed by ESCA (Electron Spectroscopy for Chemical Analysis) is shifted to a low energy side.
