PROBLEM TO BE SOLVED: To obtain a zoom lens having a high variable power ratio and high optical performance, and to provide an imaging device having the zoom lens. SOLUTION: The zoom lens has a 1st lens group L1 having positive refractive power, a 2nd lens group L2 having negative refractive power, an aperture diaphragm SP, a 3rd lens group L3 having positive refractive power, and a 4th lens group L4 having positive refractive power in order from an object side to an image side, and the 3rd lens group L3 comprises a 3rd-a lens group L3a having positive refractive power and a 3rd-b lens group L3b having positive refractive power, then the 2nd lens group L2, the 3rd-a lens group L3a, the 3rd-b lens group L3b and the 4th lens group L4 are respectively independently moved in the case of zooming. When the moving amounts of the 3rd-a lens group L3a and the 3rd-b lens group L3b in the zooming to a zoom position at a telephoto end from a wide-angle end are respectively defined as M3a and M3b (mark shows that the moving amount toward the image side is positive), the zoom lens satisfies a condition; 0.8
