PROBLEM TO BE SOLVED: To provide a ventilating device with a shutter slidable with less susceptibility to mounting irregularity and preventive of rattling when sliding. SOLUTION: The ventilating device comprises a body 13 having an indoor side exhaust port 10 and an indoor side feed port 11 facing to the indoor side and an outdoor side exhaust port 8 and an outdoor side feed port 9 communicated with the outdoor side and formed with the exhaust ports and the feed ports communicated with indoor and outdoor sides, a shutter cover 16 shaped to cover the face of the body 13 provided with the indoor side exhaust port 10 and fixed to the body 13 at a preset space from the body 13, and the shutter 14 provided in the space between the body 13 and the shutter cover 16.
