PROBLEM TO BE SOLVED: To provide a rewriting system, an on-vehicle control device and a rewriting device capable of shortening the rewriting time of data in a memory of the non-vehicle control device. SOLUTION: In the rewriting device, rewrite data are transmitted in a predetermined data transfer unit-base as data transfer commands with designated position data showing a rewrite part of a nonvolatile memory corresponding to the rewrite data of each predetermined data transfer unit, and when all the rewrite data of the predetermined data transfer unit to be transmitted show a predetermined value, the transmission of the data transfer commands including these rewrite data is prohibited. In the on-vehicle control device, the rewrite data in each received data transfer command are written to the rewrite part of the nonvolatile memory shown by the designated position data within the data transfer command, and data showing the predetermined value are written to all the rewrite parts of the nonvolatile memory where the rewrite data are not obtained from the received data transfer commands.
