<P>PROBLEM TO BE SOLVED: To provide a reflecting optical element having high reflectance in a small number of layers, without changing the polarization state. <P>SOLUTION: A phase difference adjusting film 62, which reflects light at a predetermined incident angle so as not to generate phase difference in the polarized light component of the light at a specified wavelength, is formed on the inclined face 61a of a prism 61. A polarized light flux, incident to the entrance face 61b, is reflected on the inclined face 61a, and its optical path is bent by 90°. Since no phase difference is generated in the polarized light component of the incident light by the phase difference adjusting film 62, the polarization state will not change. It is preferable that the inclined face 61a of the prism satisfy the conditions of total reflection.
