PROBLEM TO BE SOLVED: To provide a resin composition for a fiber-reinforced composite material exhibiting the vibration damping, sound absorbing and energy absorbing functions over wide frequency and temperature ranges and having excellent adhesive force and provide a fiber-reinforced composite material having stable and excellent vibration damping property over a wide environmental temperature range. SOLUTION: The thermosetting resin composition for a fiber-reinforced composite material contains a matrix composed of at least one kind of combination selected from (A) an epoxy resin and a curing agent and (B) an isocyanate compound and a polyol compound, and further contains (C) a polar organic compound having a molecular weight of <4,000 and (D) a polymer soluble in the matrix.
