PROBLEM TO BE SOLVED: To provide a zoom lens which is made small-sized and lightweight by using only a 2nd lens group and a 4th lens group, or two groups as movable groups and reducing the movement quantity of the 4th lens group in short-distance focusing, and also has high performance, and to provide an imaging device using the zoom lens. SOLUTION: The zoom lens 1 comprises a 1st lens group G1 to a 5th lens group G5 having a positive, a negative, a negative, a positive, and a positive refracting power and is characterized in that when the lens position state changes from a wide-angle end state to a telephoto end state, the 2nd lens group moves to an image side, the 4th lens group moves along the optical axis for compensation of a shift in image plane position accompanying movement of the 2nd lens group and short-distance focusing, the 5th lens group is fixed in the optical axis direction, and an aperture stop S is arranged nearby the 3rd lens group, the zoom lens 1 satisfying a conditional expression (1) -0.2<ft/f14t<0.2, where ft is the focal length of the whole lens system in the telephoto end state and f14t is the composite focal length of the 1st lens group to the 4th lens group in the telephoto end state.
