PROBLEM TO BE SOLVED: To provide a tool holder for surely installing a tapered cone of the tool holder on a spindle. SOLUTION: This tool holder 1 is formed by setting a tapered surface of an outer peripheral surface of a shank part fitted to an inner peripheral surface of the tapered cone 8 to an angle gentler than an angle of an outer peripheral surface of the tapered cone 8, by forming the outer peripheral surface of the tapered cone 8 fitted to the shank part of the tool holder fitted to a tapered hole inner peripheral surface of the spindle into a tapered surface of an angle equal to the tapered hole inner peripheral surface of the spindle. The tool holder comprises an elastic body formed of fluororubber having a slipping-out preventive part held in a recessed part 8j on one end and having a plate-like part inserted and filled in a cutting part on the other end, by forming an expanding slot 8a by inclining in the shaft direction over the total length of the tapered cone 8, and respectively and continuously forming a recessed part 8j having a width wider than the cutting part of the expanding slot 8a on an inner surface of the expanding slot 8a of front-rear side parts 8g and 8i of the tapered cone 8.
