PROBLEM TO BE SOLVED: To provide an occupant protecting device capable of preventing positional displacement even in both lateral end side portions of a seat in a bag, and its mounting structure. SOLUTION: A bag 12 is arranged on the upper side of a seat pan 1 taking a longitudinal direction as a lateral width direction of a sheet. A hollow pipe 16 penetrates the bag 12 in the lateral direction by passing through pipe insertion ports 12a, 12a provided to both end sides in the longitudinal direction of the bag 12. A peripheral edge of each pipe insertion port 12a is bound onto the hollow pipe 16 so that both end sides of the bag 12 is fixed to the hollow pipe 16.
