PROBLEM TO BE SOLVED: To provide a epoxy resin composition having low viscosity and improved in the operating efficiency and having an excellent low-temperature curability, and a method for producing the same. SOLUTION: The modified epoxy resin composition comprises an epoxy resin which has been acetoacetic esterified in at least one free hydroxy group and a glycidyl ether compound of a chain aliphatic polyol which has been acetoacetic esterified in at least a part of free hydroxy group, and the method of producing the same is included.
