PROBLEM TO BE SOLVED: To provide a method for stably preparing resin dispersion having a uniform particle size and a resin particle. SOLUTION: In the preparation method of the aqueous resin dispersion, an oily liquid (O) comprising at least one chosen from a resin (b), a precursor (b0) of (b) and organic solvent solutions thereof is dispersed in an aqueous dispersion (W) of a resin particle (A) made of a resin (a), (b0) is reacted when (b0) or its solution is used, and a resin particle (B) made of (b) is formed in the aqueous dispersion of (A) to obtain the aqueous dispersion (X1) of the resin particle (C) wherein (A) is deposited onto the surface of (B). Here, (O) contains a tertiary amine (c) having a weight average molecular weight of≤1,000, an acid number of 1-50 mgKOH/g, a total amine number of 1-50 mgKOH/g and a tertiary amine number of 0.1-50 mgKOH/g.
