PROBLEM TO BE SOLVED: To provide a shock absorbing device for protecting an occupant on a rear seat, applicable to a vehicle wherein dimensions of a vehicle rear part are reduced, and vehicle rear part structure with the shock absorbing device. SOLUTION: The shock absorbing device 1 provided in the rear of the rear seat 10 in a vehicle cabin, for protecting the occupant at the time of rear collision is provided with a box 2 provided in the rear of a first seat and having space for storing a second seat 10L therein; a pair of bases 3A, 3B juxtaposed and fixed on a floor panel 30 of the vehicle; a rail 4 laid between both bases so as to pass through the box 2; a side guard panel 5 moving to a vehicle width direction along the rail 4; and at least one of extendible shock absorbing members 6A, 6B connected to the side guard panel 5 and the box 2.
