PROBLEM TO BE SOLVED: To provide an electrooptical device in which a short circuit between substrates can be prevented without forming a new film or the like, and to provide electronic equipment equipped with the electrooptical device. SOLUTION: In the electrooptical apparatus 1a, data lines 52a, thin film diode (TFD) elements 56a and pixel electrodes 34a are formed on an element substrate 10 and a resin spacer 9 is formed so that the data lines 52a may be covered. The resin spacer 9 controls a substrate spacing between the element substrate 10 and an counter substrate 20 and prevent the short circuit of the data lines 52a and scanning lines 1a which are formed as counter electrodes on the counter substrate.
