PROBLEM TO BE SOLVED: To obtain a modified diene-α-olefin copolymer improved in adhesive properties and compatibility, and to provide a manufacturing method therefor. SOLUTION: The modified diene-α-olefin copolymer is represented by formula (1) wherein, at least a part of its ends is H<SB>2</SB>C=C(R<SP>5</SP>)-COO-. In formula (1), R<SP>1</SP>and R<SP>2</SP>are each independently hydroxy group or H<SB>2</SB>C=C(R<SP>5</SP>)-COO-; R<SP>3</SP>, R<SP>5</SP>and R<SP>6</SP>are each independently hydrogen atom or a 1-10C alkyl group; R<SP>4</SP>is each independently phenyl group, pyridyl group, chlorine atom, cyclohexyl group or a carbonyloxyalkyl group; and (l), (m) and (n) are each a recurring number.
