PROBLEM TO BE SOLVED: To provide an imaging device in which a configuration is simplified, no attitude difference occurs, and an imaging element and an imaging optical system are accurately positioned in the direction of optical axis, and which also macro-photographs to cope with a high-pixel imaging, and also to provide a portable terminal with the same. SOLUTION: The imaging device is provided with: an imaging element; a printed circuit board on which the imaging element is mounted; an outer frame member which is mounted on the printed circuit board; a pedestal with a cam surface formed thereon; an imaging optical system; and an elastic member for energizing the imaging optical system towards the imaging element. A projection part coming into contact with the cam surface is formed at an imaging plane side of a portion of the imaging optical system energized by the elastic member, thereby the energized portion and the projection part are positioned side by side in the direction of optical axis.
