PROBLEM TO BE SOLVED: To provide a production method of industrial utility of a radical-polymerizable nitrogen-containing macromonomer that is useful as a raw material for manufacturing a graft copolymer and is constituted by monomer units containing a tertiary amino group and/or a quaternary ammonium group. SOLUTION: The production method of the nitrogen-containing macromonomer is characterized in that, with respect to a prepolymer having constituting units of a radical-polymerizable monomer which has a carboxy group on one terminal and contains the tertiary amino group and if desired of a copolymerizable monomer, at least part of the tertiary amino group is converted into the quaternary ammonium salt where deemed necessary and that this prepolymer is reacted with an epoxy monomer containing a radical-polymerizable group.
