PROBLEM TO BE SOLVED: To provide a valve operating device with a simple structure and a regulating function excellent in valve operation and to provide an internal combustion engine equipped with the same. SOLUTION: In each of a plurality of cylinders, three-dimensional cams 13, 13<SB>EX</SB>are moved relatively to a valve lifter via an accelerator fork 42 to make a valve lift characteristic continuously variable. A reference accelerator fork 42A is included that is installed fixedly to an accelerator shaft 41 in a cylinder for serving as a reference and further a regulating accelerator fork 42B is included that is installed slidably in relation to the accelerator shaft 41 in a cylinder to be regulated. Further, an adjustment mechanism is included so schemed that the regulating accelerator fork 42B energized toward one directional side along the accelerator shaft 41 and position restriction is performed at the predetermined position, and then the restricted position can be varied toward the other directional side along the acceleration shaft 41.
