PROBLEM TO BE SOLVED: To provide a cell-observing apparatus which can simply examine the correlation of the initial state of a cell with a reaction without adopting a synchronous culture method, and to provide a cell-observing method. SOLUTION: The cell-observing apparatus is characterized by comprising image-taking means 14 to 23 for taking the images of a specimen containing cells, a stimulating means 13 for giving prescribed stimulations to the cells, a recognizing means 23 for recognizing each initial state of the cells on the images taken in the image-taking means before the stimulating means give the prescribed stimulations to the cells, a detection means 23 for detecting each reaction of the cells on the basis of the images taken in the image-taking means, after the stimulating means stimulates, and a production means for producing the correlation information on each initial state of the cells with the reaction.
