PROBLEM TO BE SOLVED: To obtain a compact structure to the utmost in a forward and rearward direction, in a pallet exchanger and a machine tool having a machining center. SOLUTION: In a pallet exchanger having both side arm 1 extending toward a setup station 2 and a pallet clamp, and rotatably supported in a horizontal direction, each arm 11 of the both side arm is freely rotatably supported in an upper side vertical region at a midpoint from the rotary shaft in the horizontal direction to the tip, and the tip side is in a state of being in a direction of the upper side vertical direction at a prescribed angle with the horizontal direction.
