PROBLEM TO BE SOLVED: To provide an aqueous resin composition having excellent dispersion stability of a film-forming resin component and forming a coating film having excellent water-resistance and adhesiveness. SOLUTION: The aqueous resin composition contains fine particles composed of a copolymerized polyester resin (a) and having an average particle diameter of≤10μm, a water-soluble compound (b) having a cyclic acetal structure and water (c) as essential components. The mass ratios of the components (a), (b) and (c) satisfy the condition: a/b/c=(1-60)/(0.01-20)/(20-98.99). The production method of the aqueous resin composition comprises the mixing and stirring of (A) an aromatic hydrocarbon solution of the copolymerized polyester resin (a), the water-soluble compound (b) having a cyclic acetal structure and water.
