PROBLEM TO BE SOLVED: To provide a pressure-sensitive-adhesive-sheet-fitted heat-conductive sheet which has high pressure-sensitive adhesiveness and little increment in heat resistance, prevents the slide and separation of the sheet after it is applied, and improves an assembling work by thinly forming a silicone pressure-sensitive layer having both high adhesiveness and high flexibility on the surface of a heat-conductive sheet. SOLUTION: The pressure-sensitive-adhesive-layer-fitted adhesive heat-conductive sheet has a 5 to 25μm thick pressure-sensitive adhesive layer and is prepared by coating at least either of the surfaces of a heat-conductive sheet with a silicone pressure-sensitive adhesive composition prepared by formulating 100 pts.wt. silicone pressure-sensitive material with 25 to 50 pts.wt. liquid silicone rubber.
