PURPOSE: A process of preparing the titled resin having excellent color and plasticity by controlling the configuration of a rubbery polymer and in a graft copolymer to provide flexibility and the configuration of a monomer to be copolymerized with nitrile to improve yellowing characteristics is provided, which produces thermoplastic resins having excellent yellowness and oxygen transmissivity. CONSTITUTION: The thermoplastic resin is prepared by a process consisting of: polymerizing in such a manner that a polymerization conversion rate of a butadiene monomer becomes 5 to 20%; preparing rubbery latex by adding 10 to 40 parts by weight of a nitrile monomer to the polymerization reactant; adding an alkyl carboxylic acid ester monomer to the rubbery latex and aging; and adding a nitrile monomer to the aged product and polymerizing. The nitrile monomer is selected from acrylonitrile, methacrylonitrile and mixture thereof.
