PURPOSE: An optical semiconductor device and a fabricating method thereof are provided to enhance moisture resistance, heat resistance, and mechanical strength by using a sealing resin for protecting a covering layer and a lateral part of the optical semiconductor element. CONSTITUTION: An optical semiconductor element(11) has a circuit part including any one of a light-receiving element and a light-emitting element on a surface thereof. A terminal part(17) is provided on a backside of the optical semiconductor element and is electrically connected to the circuit part. A covering layer(12) is used for covering the surface of the optical semiconductor element and is formed with a transparent material. A sealing resin(16) is used for covering lateral surfaces of the optical semiconductor element.
