PROBLEM TO BE SOLVED: To provide an optical device capable of realizing the improvement of the heat radiation characteristic of an optical conversion film at low cost, and a projector. SOLUTION: The optical device 24 is provided with three optical modulators 240 modulating every color light beam in accordance with image information, a cross dichroic prism 244 composing the respective color light beams modulated by the respective modulators 240, pedestals 246 fixed on the upper and lower surfaces of the prism 244 and composed of thermal conduction material, and a 1st optical conversion plate 243A having a base plate 243A1 stuck to the luminous flux incident end face of the prism 244 and composed of thermal conduction material, and a polarizing film 243A2 stuck to the base plate 243A1 and converting the optical characteristic of luminous flux emitted from the modulator 240. Furthermore, it is equipped with a thermal conduction plate 245 fixed on the side surface of the pedestal 246 and connected to the plate 243A so as to perform heat transfer and composed of thermal conduction material.
