PROBLEM TO BE SOLVED: To provide a readily manufacturable softening agent composition for a flexible thermoplastic elastomer, a gel-like thermoplastic elastomer composition having a hardness of at most 40A at room temperature (23°C) which exhibits an excellent moisture-retaining property and is almost free from oil bleeding, excellent in shock-absorbing property and excellently balanced with processability, and a vibration-damping material comprising the same. SOLUTION: The softening agent composition for the thermoplastic elastomer comprises (a) 100 pts. wt. of a non-aromatic hydrocarbon softening agent for a rubber and (c) 1-50 pts. wt. of a hydroxy group-containing organic carboxylic acid. The gel-like thermoplastic elastomer composition having a hardness of at most 40A at room temperature (23°C) comprises the softening agent composition and (b) 3-110 pts. wt., based on 100 pts. wt. of the component (a), of a hydrogenated and/or partially hydrogenated block copolymer.
