PROBLEM TO BE SOLVED: To provide a decorative sheet with a protecting sheet for preventing an injury of a surface protecting layer and capable of saving a time or trouble for a frequent mold cleaning and a method for manufacturing the same. SOLUTION: The sheet comprises a surface protecting layer with a thickness of 3-70μm made of a heat or an activated energy ray curable resin composition containing a polymer with a methacryl equivalent of 100-300 g/eq, a hydroxyl value of 20-500 and a weight average molecular weight of 5,000-50,000 and a polyfunctional isocyanate as effective components, formed on a shapable sheet with a decorative layer formed thereon and a surface protecting sheet with a thickness of 20-200μm adhered to the surface of the surface protecting layer. Thereby, an uncured resin component of the surface protecting layer does not stick to the mold surface and a trouble of the frequent cleaning of the mold surface is avoided.
