PROBLEM TO BE SOLVED: To provide a vehicular control device capable of suppressing control delay when the control of the traveling condition is started, and suppressing abrupt change in damping characteristic. SOLUTION: When it is estimated that the control by a first traveling condition control unit is started before the preset time is elapsed (determination in S4 and S6 is YES), an intermediate control instruction value between the present control instruction and the control instruction when the starting condition is satisfied is prepared, and a damping characteristic control actuator is controlled by the intermediate control instruction value (S7). When the starting condition is satisfied later, the damping characteristic control actuator is controlled by the control instruction value prepared by the first traveling condition control unit is controlled (S10).
