PROBLEM TO BE SOLVED: To provide a transmission with a heat exchanger capable of being improved for the operability of a shift operating system, preventing the interference with the shift operating system. SOLUTION: The transmission 10 with the heat exchanger is provided with the heat exchanger 20 for heat exchanging between oil of the transmission and engine cooling water. A shift cable 42 of a part of the shift operating system 40 of the transmission is arranged through a predetermined space position near outside the heat exchanger.
