PROBLEM TO BE SOLVED: To hold a cell gap without using a spherical spacer. SOLUTION: A liquid crystal 300 is sealed by a sealing material 205 into a gap between a TFT substrate 100 and a counter substrate 200. A gap holding member 220 for holding the gap between the TFT substrate 100 and the counter substrate 200 is disposed at the counter substrate 200. Also, the member 220 is formed earlier than a vertical alignment layer 230. The small cell gap can be held by the height of the member 220. Also, the TFT substrate 100 has a high integration degree and is susceptible to damage.
