PROBLEM TO BE SOLVED: To provide a holding valve capable of speedily and securely eliminating air mixed into a pilot conduit, and a construction machine mounted with it. SOLUTION: This holding valve provided with a main valve 102 to control opening and closing for pressure oil at a rod chamber side supply/discharge port of an arm cylinder 9 as pilot pressure oil, a control valve 105 to supply/disconnect pilot pressure oil to a pilot chamber 102b of the main valve 102, the pilot conduit 210 to supply pilot pressure oil for operation at an operation valve 206 to a pilot chamber 105b of the control valve 105, and an opening/closing valve 107 having a position to connect the pilot pressure oil of the pilot conduit 210 to a drain conduit 211, and a position to disconnect it. For extracting air, the opening/closing valve 107 is opened, air in the pilot conduit 210 is discharged to the drain conduit 211, and after completion of extraction of air, the opening/closing valve 107 is closed.
