PROBLEM TO BE SOLVED: To provide a valve operating device which can easily and effectively make fine adjustment of a valve lift, and to provide an internal combustion engine equipped with the device. SOLUTION: The device comprises a cam 13, which is formed to continuously change in a cam rise and a cam action angle and is configured to rotate with a cam shaft 11 and to be movable relatively to the cam shaft in its axial direction, a valve lifter 20 pushed by a cam surface of the cam 13 and moving the valve back and forth, and an axle shaft unit 40 moving the cam 13 in an axial direction of the cam shaft 11. The axle shaft unit 40 includes an axle shaft 41 disposed for reciprocation in an axial direction of the cam shaft and an axle form 42 supported by the axle shaft 41 and engaging with the cam 13, and has an adjust mechanism 70 for finely adjusting a relative axial position of the axle fork 42 with respect to the axle shaft 41.
