PROBLEM TO BE SOLVED: To reduce total length, and improve efficiency in transport and installation in a sound-proofing type power generating device carried to a site to be disposed there. SOLUTION: This sound-proofing type power generating device has a cooling air intake port in a side plate of a sound-proofing case for cooling an engine 111 and a power generator 112. An exhaust duct is provided in the sound-proofing case above the engine 111, and an exhaust port 130 of the exhaust duct is provided in a top plate of the sound-proofing case. An exhaust duct is also provided to be vertically bent from the exhaust duct on the disposition side of a radiator 117 to the engine 111, and a muffler 122 is provided in the exhaust duct. Between the top plate of the sound-proofing case where the exhaust port 130 is opened and an upper surface of the engine 111, an upper partition wall 118 is provided to be inclined downward toward the radiator 117.
