PROBLEM TO BE SOLVED: To provide a cover member and an engine under cover, which are lightweight and excellent in ventilation and sound insulation. SOLUTION: The invention is applied to the engine cover 70 for covering an engine 4 from above or to the engine under cover 20 for covering the engine 4 from beneath. The engine cover 70 and the engine under cover 20 according to the invention are characterized in that they are constructed of only sound absorbing material 24, 74 provided apart from the engine 4. The sound absorbing material 24 or 74 is spaced at a distance of m×λ/4 in a vertical direction from the ground or a hood panel 8 when a wave length of sound of a frequency to be reduced is represented asλand m is set at an odd number.
