PROBLEM TO BE SOLVED: To provide a data exchange system or data exchange method capable of realizing a high security or access control in off-line. SOLUTION: In this data exchange system with a public key infrastructure, an attribute certificate including access right information issued from an attribute certificate authority is added to an attribute element in the data exchange format of electronic data, the electronic data are transmitted to a person having the access right included in the access right information, and the electronic data are exchanged after the right is given to the person having the access right by the access right information of the attribute certificate.
