PROBLEM TO BE SOLVED: To provide a mounting structure of a flap, capable of accurately mounting the flap easily and at low cost, and improving mounting rigidity. SOLUTION: In this mounting structure of the flap mounted on the underside of a vehicle body, an engagement part 23 engaging with a flange 11 of the vehicle body is provided on the flap 20. The flap 20 is fixed on the underside of the vehicle body by a clip 40 with the engagement part 23 engaged with the flange 11. The flap is clipped in a stable condition engaged with the flange of the vehicle body, therefore the flap can be mounted on the vehicle body easily and completely.
