PROBLEM TO BE SOLVED: To provide a zoom lens, which eliminates the need of a starting time to the usable state of a camera (a period of time for pushing out lens) like a collapsible barrel, the depth size of which is very small, which facilitates the constitution for bending the optical path of an optical system, and which is preferable for waterproof and dust-proof, and to provide an electronic imaging device having the zoom lens. SOLUTION: The zoom lens contains a first lens group G1 having a prism R1 including a reflection plane R1<SB>2</SB>for deflecting an optical path closest to an object side and being fixed when magnifying power is varied, and at least two positive lens groups G3 and G4 at an image side. The zoom lens varies relative distances between the lens groups, respectively, when magnifying power is varied. Moreover, a light incidence surface R1<SB>1</SB>to the prism R1 is formed into a concave surface at the object side, and into an aspheric surface so that a divergence becomes weaker as incident light deviates from an optical axis.
