PROBLEM TO BE SOLVED: To provide a heat exchange technology effective in reducing an exhaust pressure loss of exhaust gas by restraining heat radiation to an external part while maintaining a heat exchange quantity for heat exchange performed between the exhaust gas exhausted from a gas engine and a cooling fluid fore cooling this exhaust gas. SOLUTION: An exhaust heat reclaimer 120 is used as a heat exchanger for recovering heat of the exhaust gas in a GHP air conditioner. The exhaust heat reclaimer 120 houses a gas passage 124 and a bypass passage 126 composed of a plurality of tubes 125 in a shell 121 for flowing cooling water, and has an opening-closing valve 127 on the inlet side of the gas passage 124. The bypass passage 126 has a constitution that the passage area is larger than the passage area of the tube 125 and passage resistance is smaller than passage resistance of the tube 125. By setting the opening-closing valve 127 in an opening position in cooling operation, the exhaust pressure loss of the exhaust gas is reduced, and the heat radiation from the bypass passage 126 can be prevented.
