PROBLEM TO BE SOLVED: To obtain a zoom lens of relatively simple constitution, which has high optical performance while reducing the lens system small-sized by properly setting refracting powers of respective lens groups of a zoom lens consisting of two groups, and optical equipment which has the zoom lens. SOLUTION: In the zoom lens which has a 1st lens group L1 of negative refracting power, a 2nd lens group L2 of positive refracting power and a 3rd lens group L3 of positive refracting power in this order from the object side and in which lens groups are moved so that the interval between the 1st lens group L1 and the 2nd lens group L2 is smaller at the telephoto end than at the wide-angle end and the interval between the 2nd lens group L2 and the 3rd lens group L3 varies at the time of zooming, the 2nd lens group L2 is moved to the object side at the time of zooming from the wide-angle end to the telephoto end, and the 2nd lens group L2 comprises a positive lens 21 having an aspherical surface and a cemented lens formed by cementing a positive lens 22 and a negative lens 23 with an aspherical surface together in order from the object side.
