PROBLEM TO BE SOLVED: To provide an authentication system that can prevent a settlement terminal and the like from being carried out of a normal place and subjected to illicit processing such as rewriting of data and a program. SOLUTION: A terminal device 10 receives authentication information that only a server 50 can know from the server 50 to authenticate the server 50, and the server 50 receives authentication information that only the terminal device 10 can know, and position information showing the current position of the terminal device 10, from the terminal device 10, and verifies the authentication information and verifies that the current position corresponds to registered position information to authenticate the terminal device 10. When data or a program in the terminal device 10 is to be rewritten, if the terminal device 10 is not positioned in a normal place, the mutual authentication with the server 50 is unsuccessful to stop rewriting of the data and program in the terminal device 10.
