PROBLEM TO BE SOLVED: To provide a power conditioner of outdoor installation which can effectively exhaust, with a fan, the air taken into the apparatus, also prevent flowing of the rain water into the apparatus through an intake port and an exhaust port and moreover ensures suprior working efficiency during the maintenance of fan. SOLUTION: The cooling structure of the power conditioner of outdoor installation comprises an external box 2 having the intake port 5 and exhaust port 6, a power converting unit 14 provided within the external box 2, and a fan 15 provided within the external box 2 to cool the power converting unit 14. This fan 15 blows the air so that the air taken into the intake port 5 flows to the exhaust port 6 via the power-converting unit 14. The fan 15 is inclined with respect to the exhaust port 6 so that an acute angle is formed by the direction indicated by the arrow mark 46, which is the direction in which the air flows from the fan 15 and the direction indicated by the arrow mark 47, which is the direction in which the air flows, after it is exhausted from the exhaust port 6.
