PROBLEM TO BE SOLVED: To obtain a benzoxazine resin having silicone structural units, which gives a cured product being excellent in heat resistance and mechanical properties and improved in flame retardancy, and a resin composition containing the resin. SOLUTION: The thermosetting resin is represented by formula (1) (wherein R<SB>1</SB>and R<SB>2</SB>are each independently a 1-6C hydrocarbon group; R<SB>3</SB>is hydrogen or a 1-6C hydrocarbon group; R<SB>4</SB>is null or a 1-10C organic group; R<SB>5</SB>and R<SB>6</SB>are each a 1-6C organic group; (k) is an integer of 1-20; (m) is an integer of 0-3; and (n) is an integer of 0-5). This resin is obtained by reacting a phenol-terminated silicone compound with an aromatic amine such as aniline and an aldehyde such as formaldehyde in a molar ratio of about 1:2:4.
