PROBLEM TO BE SOLVED: To provide a handle adjusting device for a bag having a rack which can be easily replaced by itself when the rack is worn or damaged as well as can be installed easily. SOLUTION: An insertion groove 13 of a lip-shaped cross-section is formed at least to one side wall side in a communicating hole 11 of an outer member 1, and a rack 15 is inserted in the groove 13 so as to expose rack teeth 15a from a lip mouth 14 of the groove 13, and thus the rack 15 is installed in the communicating hole 11 of the outer member 1. A pinion 21 engaged with the rack teeth 15a of the rack 15 is attached to the lower end part of an inner member 2, and an engaging part 24 easily attached to/detached from the pinion 21 to make the pinion 21 rotate freely or stopping rotation of the pinion 21 is connected to a lower edge of a linkage 23 inserted into the inner member 2 capable of elastically vertically moving, and an upper end of the linkage 23 is connected with a swing lever 33 which is operated by an operation unit 32 provided in a grip 3 of a handle 4.
