PROBLEM TO BE SOLVED: To provide a memory rewriting device of an on-vehicle ECU by communication capable of surely and easily performing the rewriting of a control program of the on-vehicle ECU. SOLUTION: This memory rewriting device comprises a data communicating device 1 for transmitting the program data, a transmitting receiving circuit 22 for transmitting and receiving the data, an ID confirming circuit 23 for confirming whether a vehicle is an object of rewriting or not on the basis of the ID confirmation code attached to the data, a communication condition judging device 24 for judging whether a condition is suitable for the communication or not, and a control means (MPU25) performing the control to write the received program data into a memory 31 of the on-vehicle ECU, informing the incompletion of the rewriting of the data, when it is judged that the condition is not suitable for the communication before and during the rewriting of the data, and informing the completion of the rewriting to the data communication device after the rewriting of the data, when it is judged that the condition is suitable for the communication.
