PROBLEM TO BE SOLVED: To provide a method for producing a pentaerythritol diphosphite, by which the highly pure pentaerythritol diphosphite having excellent storage stability can profitably be produced in excellent productivity, and to provide a method for suitably recovering the pentaerythritol diphosphite. SOLUTION: This method for producing the pentaerythritol diphosphite represented by formula (3) (Ar<SP>1</SP>and Ar<SP>2</SP>are each a 6 to 20C aryl; R<SP>1</SP>, R<SP>2</SP>, R<SP>3</SP>and R<SP>4</SP>are each H, a 6 to 20C aryl, or a 1 to 20C hydrocarbon) is characterized by heating the solution or suspension of pentaerythritol dichlorophosphite represented by formula (1) obtained from phosphorus trichloride and pentaerythritol at 40 to 120°C in an inert atmosphere and then reacting the solution or suspension of the pentaerythritol dichlorophosphite with an aralkyl alcohol represented by formula (2) (Ar is a 6 to 20C aryl) in the presence of an organic base compound as a hydrogen chloride-capturing agent at a temperature of -20 to 100°C in an inert atmosphere.
