PROBLEM TO BE SOLVED: To provide a curing agent which improves heat resistance and enables reduction in hygroscopicity in curing an epoxy resin, and an epoxy resin composition. SOLUTION: The carbonate esterified resin is represented by chemical formula (1) in image 1 [wherein R<SB>1</SB>is a hydrogen atom, a halogen atom, an alkyl group, an aralkyl group, a phenyl group or the like; l is an integer of 1-3; a connecting group X is a 1-10C alkylene or aralkyl group; a repeating unit m is an integer of 0-50 and m=0 means a bisphenol compound derivative; k is 1 or 2; and A is a hydrogen atom and/or a carbonate ester residue to be represented by chemical formula (2) in image 1 (wherein Y<SB>1</SB>-Y<SB>3</SB>are each an oxygen atom or a sulfur atom and at least one of them is an oxygen atom; and B is a 1-9C aliphatic or aromatic hydrocarbon group)].
