PROBLEM TO BE SOLVED: To provide a setting structure of a clip that improves the hold power for fitting and the strength of a clip holder, and also raises the fitting reliability. SOLUTION: The clip holder 32 is provided with a setting member 30 to fit a seat 20, a fitting part 34 is protruded on a base wall 33 of the clip holder 32, an engaging part to the fitting part 34 is protruded on the seat 20, and either a protrusion allowance of the fitting part 34 or the jointing part is formed to be loner than the other allowance. When the seat 20 is held in the clip holder 32, the base wall bends and the seat 20 is pressed by the elastic restoration power of the base wall 33. The clip holder 32 has a frame wall 35 having an opening 40 toward the insertion direction of the seat 20 and a flange 38 protruding inward and extending to the edge part of the frame wall 35, and the seat 20 has a broad section 21 and a narrow section 22 that pile in a step toward the direction of a plate thickness.
