PROBLEM TO BE SOLVED: To provide an aqueous resin composition with an excellent film forming property, whether resistance and flexibility of the film under low temperature conditions, and a coating material prepared by using it. SOLUTION: The aqueous resin composition is prepared by emulsion polymerization of (b) a polymerizable unsaturated monomer having a cycloalkyl group, (c) a polymerizable unsaturated monomer having a silyl group of the formula: -Si(X<SB>n</SB>)-Y<SB>3-n</SB>(1) (wherein X is a 1-10C alkyl group or the like; Y is an alkoxy group or the like; n is a number of 0-3; and X and Y may be the same or different when 2 or more X or Y are present) and (d) a polymerizable unsaturated monomer having neither cycloalkyl nor silyl group in an aqueous (a) urethane dispersed solution.
