PROBLEM TO BE SOLVED: To provide a liquid crystal device having enhanced reliability without degrading its display quality by preventing an alignment layer from being deteriorated, and to provide an electronic apparatus. SOLUTION: Alignment layers 40 and 60 are formed on the surfaces of a TFT array substrate 10 and a counter substrate 20 on the sides of a liquid crystal layer 50, respectively, and passivation films 41 and 61 containing a magnesium compound such as MgO and MgF<SB>2</SB>are formed between a pixel electrode 9 and the alignment layer 40 of the TFT array substrate 10 and between a common electrode 21 and the alignment layer 60 of the counter substrate 20, respectively.
