PROBLEM TO BE SOLVED: To provide a resin varnish improved in film-forming properties, to prepare a film by using the varnish, to provide a metal foil with a resin, to obtain a curable composite material, to obtain a cured composite material, and to provide a laminate. SOLUTION: This resin varnish is produced by reacting a mixture comprising a polyphenylene ether and a functionalizing agent at a temperature not lower than room temperature and not higher than the melting point of the polyphenylene ether to obtain a functionalized polyphenylene ether, dispersing or dissolving the functionalized polyphenylene ether and an organic peroxide in an aromatic solvent, and heat-treating the dispersed or dissolved materials.
